1. Parties and Agreement
These Terms of Service ("Terms") constitute a legally binding agreement between Wikrena Limited, a company registered in the Federal Republic of Nigeria with its principal place of business in Enugu, Nigeria ("Wikrena", "we", "us", or "our"), and you, the individual or organisation creating an account or using the WikrenaOS platform ("you" or "User").
By registering for an account, clicking "I agree", or using any part of WikrenaOS, you confirm that you have read, understood, and agreed to be bound by these Terms and our Privacy Policy. If you are entering into these Terms on behalf of an organisation, you represent that you have authority to bind that organisation.
If you do not agree to these Terms, you must not use WikrenaOS.
2. The Service
WikrenaOS is a cloud-based business operating platform designed for professional service businesses. The platform includes client relationship management, engagement tracking, scope change management, invoicing, payment collection via Paystack, team management, and related features as described at wikrenaos.com (collectively, the "Service").
We reserve the right to modify, suspend, or discontinue any feature of the Service at any time, with reasonable notice where practicable. We will not reduce core functionality of a paid subscription tier during a billing period without offering a pro-rated refund for the affected period.
3. Account Registration
To use WikrenaOS you must create an account. You agree to:
- Provide accurate, current, and complete information during registration
- Maintain the accuracy of your account information
- Keep your password secure and not share it with any third party
- Notify us immediately at legal@wikrenaos.com if you suspect unauthorised access to your account
- Accept responsibility for all activity that occurs under your account credentials
You must be at least 18 years of age to create an account. By registering you confirm that you meet this requirement.
4. Subscription Plans and Billing
4.1 Plans
WikrenaOS is offered on a subscription basis with the following tiers, as detailed on our pricing page:
- Free Plan: ₦0/month. Limited to 5 clients, 3 active engagements, and 5 invoices per month.
- Studio Plan: ₦8,500/month. For solo professionals and freelancers.
- Team Plan: ₦18,000/month. For small agencies and teams up to 10 users.
- Business Plan: ₦75,000/month. For established professional services firms with unlimited usage and priority support.
4.2 Billing
All subscription fees are denominated and charged in Nigerian Naira (₦) via Paystack. Subscriptions are billed on a monthly recurring basis, commencing on the date you upgrade to a paid plan. Your subscription renews automatically at the end of each billing period unless you cancel before the renewal date.
Wikrena Limited reserves the right to adjust subscription pricing with at least 30 days' written notice to existing subscribers. Price changes will not affect your current billing period.
4.3 Payment Failures
If a payment fails, we will retry the charge up to three times over a 7-day period. If payment is not received after the final retry, your account will be downgraded to the Free plan. Your data will be retained for 30 days, after which you will need to resubscribe to regain access to paid features. Your data is not deleted during this period.
5. Refund Policy
Our full refund policy is detailed at wikrenaos.com/legal/refund-policy. In summary:
- We offer a full refund within 14 days of your first payment on any paid plan, no questions asked.
- After the 14-day period, subscription fees are non-refundable.
- Cancellation stops future billing but does not entitle you to a refund for the current billing period.
To request a refund, contact legal@wikrenaos.com within the 14-day window with your account email and transaction reference.
6. Your Data and Intellectual Property
6.1 Ownership of your data
All data you enter into WikrenaOS — including client records, engagement details, invoices, scope documents, and communications — belongs to you. Wikrena Limited does not claim any ownership over your data. We process it solely to provide the Service.
6.2 Data export
You may export your data at any time from within WikrenaOS in standard formats (CSV, PDF). On account closure, we will make your data available for export for 90 days before deletion.
6.3 Licence to operate the service
By entering data into WikrenaOS, you grant Wikrena Limited a limited, non-exclusive, royalty-free licence to store, process, and display your data solely to the extent necessary to provide the Service to you.
6.4 WikrenaOS intellectual property
The WikrenaOS platform, including its software, design, trademarks, brand identity, and documentation, is owned by Wikrena Limited and protected under Nigerian intellectual property law. Your subscription gives you a limited, non-transferable right to use the Service. You may not copy, reverse-engineer, resell, or create derivative works from WikrenaOS without our express written consent.
7. Acceptable Use
You agree to use WikrenaOS only for lawful purposes and in accordance with our Acceptable Use Policy. You must not use the Service to:
- Violate any applicable Nigerian or international law or regulation
- Infringe the intellectual property rights of any third party
- Transmit harmful, offensive, or illegal content
- Attempt to gain unauthorised access to any part of the Service
- Reverse-engineer, decompile, or disassemble the platform
- Resell, sublicence, or otherwise commercialise the Service without authorisation
Violation of the Acceptable Use Policy may result in immediate account suspension without refund.
8. Service Availability
We aim to maintain 99.5% monthly uptime for paid plans. Scheduled maintenance will be communicated at least 24 hours in advance. We are not liable for downtime caused by factors outside our reasonable control, including Paystack service interruptions, internet service provider outages, or force majeure events.
WikrenaOS is designed to function offline for core features. Offline functionality requires that you have previously loaded the application with an active internet connection.
9. Limitation of Liability
To the maximum extent permitted by Nigerian law:
- Wikrena Limited's total liability to you for any claim arising from these Terms or your use of WikrenaOS shall not exceed the total fees paid by you in the 3 months preceding the claim.
- We are not liable for any indirect, incidental, consequential, or punitive damages, including loss of profit, loss of data, or loss of business opportunity, even if we have been advised of the possibility of such damages.
- We are not liable for the actions of your clients, including failure to pay, scope disputes, or contractual breaches. WikrenaOS is a tool to help you manage these situations — it does not guarantee specific outcomes.
10. Indemnification
You agree to indemnify, defend, and hold harmless Wikrena Limited and its officers, employees, and agents from any claims, losses, damages, or expenses (including reasonable legal fees) arising from your use of WikrenaOS, your violation of these Terms, or your infringement of any third party's rights.
11. Termination
11.1 Termination by you
You may cancel your subscription at any time from your account settings. Cancellation takes effect at the end of your current billing period. Your data remains accessible until the billing period ends, after which your account is downgraded to the Free plan or closed at your election.
11.2 Termination by us
We may suspend or terminate your account immediately if you materially breach these Terms and fail to remedy the breach within 7 days of written notice, if you use the Service for fraudulent or illegal purposes, or if continued provision of the Service creates a legal or security risk for us or other users.
On termination for breach, you are not entitled to a refund. On termination by us for any other reason, we will provide a pro-rated refund for the unused portion of your current billing period.
12. Governing Law and Disputes
These Terms are governed by the laws of the Federal Republic of Nigeria. Any dispute arising from these Terms shall first be submitted to good-faith mediation between the parties. If mediation fails within 30 days, disputes shall be subject to the exclusive jurisdiction of the courts of Enugu State, Nigeria.
13. Changes to These Terms
We may update these Terms from time to time. When we make material changes, we will notify you by email and within WikrenaOS at least 14 days before the changes take effect. Your continued use after the effective date constitutes acceptance. If you do not accept the new terms, you may cancel your subscription before the effective date for a full refund of any fees paid for the upcoming period.
14. Severability
If any provision of these Terms is found to be unlawful or unenforceable, that provision will be modified to the minimum extent necessary to make it enforceable, and the remaining provisions will continue in full force and effect.
15. Entire Agreement
These Terms, together with our Privacy Policy, Refund Policy, Cookie Policy, Acceptable Use Policy, and (where applicable) our Data Processing Agreement, constitute the entire agreement between you and Wikrena Limited regarding the Service and supersede all prior agreements.
